Seller Onboarding Agreement

This agreement is between Pheriko, C-215, Sector 81, Noida, Uttar Pradesh 201305, India (“Pheriko”), and you, the person or business opening a store on Pheriko (“Seller”). By ticking the box when you create a seller account, you accept it. It sits alongside our Terms of Use, Privacy Policy, Seller Payout, Commission & RTO Policy and Shipping, Cancellation, Refund & Return Policy.

You sell to shoppers as an independent seller. The contract of sale is between you and the shopper. Pheriko provides the platform: listings, collection codes, checkout, payments, courier booking, and support. Pheriko is not your employer, agent or partner.

• You are 18 or over, or a registered business, and able to enter a contract under Indian law.
• The details you give (name, mobile number, business and pickup address, tax and bank details) are true and kept up to date.
• We review each store and may approve, refuse, or later withdraw approval. Payouts need an approved store and verified KYC.

You promise that every product you list:

• is genuine, lawful to sell in India, and yours to sell (no counterfeit, stolen or prohibited goods);
• is described accurately - title, photos, price, size, colour, material, stock, country of origin and any legally required details;
• does not infringe anyone’s copyright, trademark or other rights, including in photos, videos and music you upload.

You keep ownership of your content and give Pheriko a non-exclusive, royalty-free licence to show it on Pheriko and to promote your store, for as long as it is on Pheriko.

• Confirm and dispatch orders within the time you promise, and keep order status up to date.
• Honour the shipping, cancellation, return, refund and cash on delivery terms you set for your store and the return policy shown on each product.
• Always replace or refund items that arrive damaged, defective or wrong, whatever the product’s return policy.
• Pack securely and send exactly what the shopper ordered.

Commission, plan fees, payout timing, deductions and RTO charges are set out in the Seller Payout, Commission & RTO Policy, which forms part of this agreement. You are responsible for the taxes on your sales (including GST where it applies) and for issuing correct invoices.

You may use a shopper’s name, address and phone number only to fulfil and support their order, and must keep it secure and not sell, share or market with it.

No fake orders or reviews, no steering shoppers to pay outside Pheriko, no misleading prices or claims, and no harassment of shoppers or staff.

We may pause listings, hold payouts or suspend a store for a breach, a pattern of complaints, fraud concerns or a legal request. Where we can, we tell you why and give you a chance to respond.

You can close your store at any time after completing open orders and returns. We may end the agreement for serious or repeated breaches. Amounts already earned and due are still settled under the payout policy, after any returns, refunds or dues are cleared.

You indemnify Pheriko against claims caused by your listings, products or breach of this agreement. Nothing limits liability that cannot be limited by law. This agreement is governed by Indian law and the courts at Noida (Gautam Buddh Nagar), Uttar Pradesh, India have jurisdiction, subject to any rights you have by law.

We may update this agreement. For material changes we will notify you in your dashboard or by email, and continuing to sell after the change takes effect means you accept it. The “last updated” date above shows the current version.
